Background Review  of the Client

Over the past decade, under the strategic guidance of "Based in Hong Kong, Focus on Mainland”, China Resources Group has fully participated in the economic construction of the mainland. With a strong industrial base in the Mainland, mainland has become the main assets, business income and earnings sources of the Group and thereinto Shenzhen plays an important role. Shenzhen alone has accounted for 63% of the Group’s investment in Guangdong Province. 15 companies of the 25 subordinate enterprises of China Resources in mainland are headquartered in Shenzhen. Therefore, appropriate location selection for the construction of the new headquarter of the Group and headquarters for its various profit centers in Shenzhen is a matter of priority for the serious shortage of office space for the Group. Thus, it can fully play the advantages of centralized office, improve working efficiency and establish a new corporate image for the Group.

China Resources Headquarter Shenzhen Bay Mixed Development Project (hereinafter referred to as the project for short) is located in the core position of Houhai CBD, east of Keyuan Boulevard and south of Haide 3 Road. Its land coverage is 53,661.74㎡(of which construction coverage is 44,001.29 ㎡, public centralized green area 2,011.85 ㎡, municipal roads 7,648.6 ㎡), GFA 490,000 ㎡that consists of China Resources Group's headquarter building, the Vanguard headquarter building, a high-end commercial center, a platinum five-star hotel, high-quality business apartments, high-end residence and etc. Houhai CBD of Nanshan District is an extremely vital coastal bay of Shenzhen that’s not only an iconic coastal city area, a connected area of Shenzhen and Hong Kong, but also the most dynamic center in the future. The project focuses on the perfect fusion of the headquarters offices, commercial development and Shenzhen Bay Sports Center, so as to create a 24-hour working and living spaces with vitality, rich connotation and fun and finally make it a coastal complex with international influence.

The competition is jointly co-hosted by 3 of the Group’s subsidiaries: China Resources Land Development (Shenzhen) Co., Ltd., China Resources Vanguard Development (Shenzhen) Co., Ltd., China Resources Shenzhen Bay Development Co., Ltd, and organized by China Resources Shenzhen Bay Development Co.

Competition Contents

The project land is divided into five sub-plots by municipal roads and internal roads, numbered as P01-P05. Thereinto, P-04 is for the construction of China Resources Group’s headquarter building that’s not included in the design competition scope and its master plan is set, building shape as a circular plane, about 500 meter high. The competition design scope is P01, P02, P03 and P05. The contest will be divided into two subitems--A and B. Subitem A is for the design of P05, functioning as platinum five-star hotel and high-end business apartments. Subitem B is for the design of P01, P02, and P03, functioning as Vanguard’s headquarter building, high-end retails and high-rise residence. Competition Mode and Regulations

1) The competition will be open to the world allowing the registration of joint group. All the applicants should have similar design experiences (including the one under construction and completed). The project will be devided into 2 subitems—A and B. Each applicant can applied for one or both. Since Part A’s function is complex and its scale is large, it requires a joint group with more than 2 design institutions and each of the principal architects should be responsible for the design work of each building with different function. It requires clarifying all the principal architects’ responsibility and designing scope on the sign-up form and all the design teams should be familiar with the sunshine specifications for China’s residence.

2) During the qualification review, the jury will select 5 design teams as invited competitors and 3 backup teams for each subitem. If any of the invited competitors quit, the backup teams will substitute it in their ranking order. Those uninvited applicants can’t participate in the competition.

3) For the joint groups, they shall sign the Joint Participation Agreement and submit it to the organizer together with the other sign-up documents. Design firm in any joint group can’t participate in the competition independently or be any other joint members. If any of the joint groups gain the design contract, each party shall sign the Joint Design Agreement in order to appoint the design leader, decide each party’s duty and responsibility, and each party’s contract fee. The declaration will be an attachment in the contract.

4)The final proposal review of the two subitems will select one winning proposal each. The organizer will negotiate with the winner for the follow-up design work.

5)All the invited competitors will get the design compensation if their submittals meet the design requirements.

Sign-up Requirements and Documents

1)Any design firms home and abroad that have similar experience can apply for the competition. Any individuals or combination will not be accepted.

2)Sign-up documents include:

◊Sign-up Form (see the attachment)

◊Introduction of the organization, relevant achievements and evidence

◊Copy of business certificate and qualification certificate (or business registration certificate) (with seal or signature)

◊Joint Participation Agreement (for the format, see the attachment)

◊Work program: if winning the competition, provide relevant working arrangement such as project team member list, teamwork mode and design phases.

◊Joint group description: design work and interest allocation for each member, design team organization for each member, similar working cases for the related design work

3)The applicants should submit all the sign-up documents to the organizer before the deadline according to the requirements of the Competition file (1 CD, 1 paper document).

4)All the designers of the competition should be the register personnel of the company headquarter. And the principal architects MUST have chaired several similar projects and he MUST participate in the whole design.

5)The invited competitors should submit the official Participation Confirmation to the organizer within 3 days after receiving it, so as to confirm their participation in the next-stage competition.

Design Compensation

1)If all of the submittals are evaluated as valid, each competitor will get the same design compensation, thereinto, compensation fee for Subitem A design is RMB200, 000 each team, while it is RMB450, 000 for Subitem B design.

2)Payment procedure of the compensation will be undertaken after the notice of the final review result. And the organizer will sign an agreement with the qualified participants in order to pay the related fee.

3)The participants should be responsible for all the tax of the compensation fee.

4)The participants should bear all the cost for the competition.

Scope of the Contract

The organizer will negotiate with the bid winner in order to decide the scope of the contract and its specific design work. And the organizer will appoint another design firm cooperating with the winner to finish the construction drawings.

Competition Schedule

All the time below is Beijing Time.

◊Sign-up time: September 10, 2012---17:00 of September 21, 2012

All the applicants should submit their sign-up document to the organizer before the deadline ( address: 3rd Floor of the Stadium of Shenzhen Bay Sports Center, NO. 3001 Binhai Boulevard, Nanshan District, Shenzhen, postal code: 518054). And the actual receiving date should prevail.

◊Qualification review: tentatively September 24, 2012

◊Notice of the qualification review result: tentatively before 17:00 of September 26, 2012

◊Q&A meeting and site visit:

On September 28, 2012, the meeting for site visit will be held in the conference room of the 1st floor of Hotel Kapok of Shenzhen Bay Sports Center and all the principal architects should be present. And the detailed schedule will be noticed later.

Written Q&A section: October 8---October 9, 2012. All questions concerning the project can be raised via fax or email. And the organizer will respond to all through email before 18:00 of October 10, 2012.

◊Submittal deadline: The design duration for the competition is about 45 days. Complete agenda will be published at the meeting for site visit.

All the participants should submit their final design proposal before the deadline (the submittal place will be noticed later). And the actual receipt date should prevail. Overdue submission will be treated invalid.

◊Final proposal review: tentatively on Mid-November, in the banquet hall of Hotel Kapok of Shenzhen Bay Sports Center.
